Corporate Purpose, an extract from the Articles of Association of Novomatic AG, Article 3:


1. The company’s corporate purpose is:

a) the acquisition, the management and the disposal of investments in other companies (including as a partner with unlimited liability), the assumption of management and representation of such companies, and the establishment of subsidiaries in Austria and abroad;

b) the acquisition, the management and the disposal of real estate;

c) the provision of any type of service that is appropriate to support and promote the Group companies in their respective areas of business, including, but not limited to, in relation to the following areas:

i. the sale, rental, placement, commissioning and maintenance, trade and industrial production and repair of any type of machine (including electronic entertainment gaming machines), in particular regarding machines in gaming casinos in Austria and abroad,

ii. the acceptance and conclusion of any type of bet, in particular the commercial acceptance and conclusion of bets on the occasion of sporting events, provided that this does not constitute a breach of the gaming monopoly or other legal provisions, including in particular the Gaming Act, the Law regarding the fees of totalizator and bookmaker bets and measures aimed at combating illegal betting activities;

iii. any activity related to hotels, gastronomy and tourism;

d) the acquisition, the management and the exploitation of intellectual property rights, development and research activities in the area of gaming and gaming casinos, the exploitation of the results of such development and research activity in Austria and abroad, including through licensing;

e) all other transactions which are required or practical to achieve the corporate purposes laid out under a) – d).
